Amended Commonhold Forms

The Companies Act 2006 will introduce wide-ranging amendments to company law on 1st October to which we have previously referred practitioners on OFIS bulletins 11 and 12 in August. 
 
The Government has produced regulations which amend these two Commonhold forms to reflect the changes made by the 2006 Companies Act. 
 
In particular CH1* has been amended in respect of its articles of association and the memorandum restricted to providing evidence of each subscriber’s intention to form and become a member of the company. 
 
CURRENT EDITIONS OF CCS AND CH1* SHOULD NOT BE USED AFTER 30TH SEPTEMBER. AMENDED FORMS WILL BE AVAILABLE TOWARDS THE END OF SEPTEMBER.
