Section 44 of the Companies Act 2006 stipulates that a company can execute a document in a number of different ways.
Since companies are no longer required to appoint a company secretary, it is now possible for one director to sign on behalf of the company.
Con 40G has therefore been amended to enable a sole director to sign Con 40G in the presence of a witness.
However, we have published the new form Con 40H where companies prefer two directors to sign on a company’s behalf or to affix the company’s seal.
AMENDED FORMS WILL BE AVAILABLE IMMEDIATELY. THE CURRENT EDITION OF CON 40G SHOULD NO LONGER BE USED.
